The two true blockers (formation-record verification and CEO authorization) are genuine; everything else is a mix of clerical cleanup, drafting consistency, and attorney-decision items that should be flagged in the packet rather than guessed at. I re-classify Codex's Item 5 (Phase 2 issuance consent) from P0 to P1 — the charter amendment can be filed without it; only the equity issuances depend on it. Everything else, accept Codex's priority.
